Lion Wholesale – Terms & Conditions of Sale

These Terms & Conditions (“Terms”) apply to all purchases from Lion Wholesale LLC (“Lion Wholesale,” “we,” “us,” “our”) through our website, B2B portal, email, phone, or any other ordering method. By placing an order, creating an account, or submitting a B2B application, you (“Customer,” “you,” “your”) agree to these Terms.


1) Who We Serve (B2C, Nonprofits, and Resellers)

Lion Wholesale sells to a mix of customers, including individuals (B2C), nonprofits/churches/schools/organizations, and resellers (B2B). Our pricing is designed to be wholesale-style pricing across our catalog. These Terms apply to all customers.

Nonprofits, Churches, Schools, and Organizations

  • We can support documentation and invoicing needs, and we may request nonprofit or organizational verification.
  • If you are purchasing for donation programs, community distribution, or missions work, please ensure your use complies with any applicable local requirements.

Resellers

  • You may resell products wherever you choose.
  • Important: Lion Wholesale does not provide marketplace-prep services such as Amazon drop shipping, marketplace labeling, special packing slips, or platform-specific carton markings.
  • We will Dropship for you and ship blind (No Lion Wholesale boxes, packing slips or tape), identify these orders by typing "BLIND" in the notes section of your order. 

2) Geographic Restrictions (US & Canada Only)

We sell and ship only within the United States and Canada. We do not ship to countries outside the US/Canada. Customers are responsible for complying with any applicable import rules, taxes, duties, or brokerage requirements for Canadian shipments.


3) Minimum Order

The minimum order subtotal is $250.00 (USD), excluding shipping, taxes, and fees. We reserve the right to refuse or cancel orders below the minimum.


4) Account Eligibility, Verification & Documentation

We reserve the right to request documentation at any time to verify identity, organization status, billing/shipping legitimacy, resale status, or compliance needs. Documentation may include, but is not limited to:

  • Resale certificate (where applicable)
  • EIN, W-9, or business registration
  • Nonprofit/church/school documentation
  • Government-issued ID for verification

Failure to provide requested documentation may result in delayed processing, order cancellation, or account restriction.


5) Product Information, Case Packs, Closeouts & Availability

  • Case Packs: Items are sold in case packs unless otherwise clearly noted on the product listing.
  • Closeouts: Many items are closeouts/overstock/limited availability, but not all items are closeouts.
  • Availability: Inventory is limited to stock on hand and is not guaranteed until the order ships.
  • Images/Colors: Images are for reference; colors and packaging may vary by screen and batch.
  • Errors: We reserve the right to correct listing errors, pricing errors, or typographical mistakes at any time.

6) CPC Requests & Marketplace Compliance Timing

If you require Children’s Product Certificates (CPCs) or related compliance documents for your own selling channels (including marketplaces such as Amazon), we can assist by requesting documents from manufacturers and/or our compliance files when available.

Timing: Please allow up to three (3) weeks to obtain or compile CPC documentation when it must be sourced from manufacturers or external parties. This timeline may be shorter for products where documents are already on file, but it is not guaranteed.

Important: Lion Wholesale does not control manufacturer response times. Document requests do not pause payment requirements or guarantee shipping timelines unless agreed in writing.


7) Pricing, Payment in Full & Card Processing Fees

All prices are subject to change without notice. Payment in full is required before shipment unless Net 30 terms have been explicitly approved in writing (see Addendum).

Accepted Payment Methods

  • Wire Transfer / ACH: No fee
  • Visa / MasterCard / Discover: 2.85% processing fee
  • American Express: 4.5% processing fee

Card processing fees are non-refundable and reflect transaction costs. If a payment fails, is reversed, or is disputed, we reserve the right to cancel the order and/or restrict the account.


8) Shipping, Freight, Accessorial Fees & Risk of Loss

Orders ship FOB from our warehouse unless otherwise stated. Title and risk of loss pass to the customer once the shipment leaves our facility.

  • Customer is responsible for shipping/freight charges, fuel surcharges, and accessorial fees (lift gate, inside delivery, limited-access, appointments, etc.).
  • If we are billed for unexpected delivery charges due to incomplete/incorrect delivery information or special access requirements, we reserve the right to charge the payment method on file plus an administrative service fee.

9) Order Processing, Changes, Cancellations

  • Order processing times vary based on order size, seasonality, product availability, and verification requirements.
  • Once an order enters processing/picking, changes may be refused and may cause delays.
  • Cancellations after processing begins may be subject to restocking and/or handling fees.

10) Returns, Shortages, Damage & Claims

Returns

  • Returns are not accepted without prior written authorization.
  • Closeout/clearance and specially marked items may be final sale.
  • Approved returns may be subject to restocking fees and return shipping costs.

Shortages, Damage, Defects

  • Customer must inspect shipments upon delivery.
  • Visible damage must be noted on the carrier’s delivery receipt at delivery.
  • Claims for shortages, damage, or defects must be reported within five (5) business days of delivery.
  • Claims must include photos and supporting documentation (order number, item details, quantities).

11) No Marketplace Prep Services (Drop Shipping / Labeling)

Customers may resell products through any channels they choose; however, Lion Wholesale does not offer marketplace preparation services. This includes (but is not limited to) drop shipping, Amazon FBA labeling, marketplace carton labeling, platform-specific packaging requirements, special packing slips, bundling, or kitting for marketplace compliance unless explicitly agreed in writing.


12) Limitation of Liability

Products are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Lion Wholesale is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

Our maximum liability for any claim is limited to the purchase price paid for the specific goods giving rise to the claim.


13) Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

Sales Tax Notice:
We do not collect sales tax in all states. If you live in a state that requires use tax reporting, you may be responsible for submitting that tax directly to your state’s Department of Revenue.
